These terms govern the manufacturing relationship between Fonow Medicine ("Manufacturer") and our commercial partners ("Client"). Please review them carefully before initiating an order.

Agreement Basics
Scope of Services
These terms apply to all OEM/ODM manufacturing, formulation R&D, and packaging services provided by Fonow Medicine.
B2B Only
Our services are intended solely for business entities. By using this site, you represent that you have the authority to bind your organization.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Dongyang City, Zhejiang Province.
By submitting a Purchase Order (PO) or paying a deposit, the Client acknowledges and accepts these Terms of Service in full.
Intellectual Property Ownership
Clear distinction of ownership rights is critical in OEM manufacturing.
Client Ownership
- Custom Formulations provided by Client.
- Artwork, Logos, and Packaging Designs.
- Client's existing Trademarks.
Manufacturer Ownership
- Standard/Stock Formulations (ODM).
- Manufacturing Processes & Techniques.
- Pre-existing IP owned by Fonow.
Confidentiality (NDA)
Both parties agree to hold all proprietary information in strict confidence. We do not disclose your formulations or business relationship to third parties without express written consent, except as required by regulatory bodies (e.g., FDA site inspections).
Standard Payment Terms
T/T (Telegraphic Transfer) is preferred.
Ordering Process
Orders are initiated via a Purchase Order (PO). Acceptance is subject to our written confirmation.
Incoterms
Standard terms are FOB (Free on Board) Ningbo or Shanghai. CIF/DDP available upon request.
Lead Times
Typical lead time is 35-45 days after deposit and artwork approval. Expedited services may incur fees.

Responsibility Matrix
Comparing liabilities between Manufacturer (Fonow) and Client.
Inspection & Acceptance
Client has the right to inspect goods prior to shipment. Any claims for quality defects must be made within 30 days of receipt.
Limitation of Liability
In no event shall Fonow Medicine be liable for lost profits or incidental damages. Our total liability is strictly limited to the value of the specific Purchase Order involved.
Regulatory Compliance
Fonow ensures manufacturing compliance (GMP). Client is responsible for market authorization, labeling compliance, and distribution legality in the destination country.
